Terms of Service

1. Agreement to Terms

By accessing, connecting, or using the ChatVendor platform ("Service"), you ("Merchant") agree to be bound by these Terms of Service. If you do not agree to these terms, do not connect your accounts or use our software.

2. Description of Service & Tech Provider Role

ChatVendor is an independent software platform acting as a Technical Provider (ISV) enabling Merchants to connect their Meta WhatsApp Business Accounts to manage inventory catalogs and automate buyer communications.

ChatVendor does not sell goods directly to end consumers. All commercial transactions, products sold, pricing, delivery, and customer warranties are strictly the responsibility of the Merchant.

3. Merchant Responsibilities & Meta Policy Compliance

As a condition of using ChatVendor, Merchants warrant and agree that they will:

  • Comply with the WhatsApp Commerce Policy and WhatsApp Business Policy at all times.
  • Refrain from sending spam, unsolicited marketing messages, or distributing prohibited goods and services.
  • Maintain valid payment methods on file within their own Meta WhatsApp Manager for any conversation fees incurred directly with Meta.
  • Obtain appropriate opt-in consent from end customers before sending proactive business-initiated notifications.

4. Meta Fees & Direct Billing

ChatVendor software fees do not include Meta’s per-conversation charges. Meta conversation charges are billed directly by Meta to the Merchant's attached credit card or line of credit in accordance with Meta's published Cloud API pricing. ChatVendor carries no liability for conversation charges incurred by Merchant messaging activity.

5. Account Termination & Disconnection

Merchants may terminate their use of ChatVendor at any time by disconnecting their WhatsApp account in the dashboard settings. We reserve the right to suspend or terminate access to the Service immediately, without prior notice, if a Merchant violates WhatsApp policies, engages in abusive messaging behavior, or breaches these Terms.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ChatVendor and its operators shall not be liable for any indirect, incidental, punitive, or consequential damages, or loss of profits or revenue arising out of the use or inability to use the Service, including third-party downtime or WhatsApp account restrictions imposed by Meta.

7. Governing Law & Modifications

We reserve the right to modify these Terms at any time. Continued use of the platform following any modifications constitutes acceptance of the updated terms.
